Residents of Belas Clube de Campo (hereinafter “AMABCC<\/strong>“)<\/p>\n\n

\nMr. President, <\/p>\n\n

Further to the notice of the next AMABCC General Assembly on April 29, 2023, sent to members last Friday, March 31, 2023 (hereinafter the “Notice<\/strong>“), I hereby request you to change the date of the aforementioned Assembly, as it has been scheduled for the eve of a holiday (May 1) and, consequently, a long weekend, which is the reason why many members may not be able to attend.

\nHolding the meeting on April 29, 2023 would seriously jeopardize the participation of members, as well as the effective and proper analysis of the items on the Agenda, with all the damage and adverse effects that could result. <\/p>\n\n

Although the law says nothing about the days of the week and month available for general meetings, it will always be said that the discretion of those who call them is guided by criteria of reasonableness, taking into account the urgency of the meeting and custom.
\nThus, in the words of Professor J.M. Coutinho de Abreu,<\/em>“in principle, meetings should not be called on Sundays, public holidays or certain days (or the eve of public holidays)<\/em>“. <\/p>\n\n

It should be noted that the Notice ofMeeting<\/em>also states that “if the number of members making up at least half of the possible votes is not present or represented, a new meeting is hereby called for the same day at 4:30 p.m. in the same place, with the same Agenda, in which case the Assembly may deliberate with any number of Members<\/em>“.
\nNow, if calling a general meeting on the eve of a holiday can lead to constraints on participation by a significant number of members, calling a new meeting if there is no constitutive quorum on the first date for the next thirty minutes is manifestly unreasonable and does not resolve the problem\/inadequacy arising from the date scheduled for the meeting (i.e. a holiday eve). <\/p>\n\n

The Notice of Meeting also fails to mention two fundamental points: on the one hand, it says nothing about the requirements to which participation and the exercise of voting rights may be subject, and on the other, the procedure and deadline for requests to be included on the Agenda.<\/p>\n\n

In view of the above, we ask you to
\nthat, as soon as possible, you revoke the notice convening the AMABCC General Assembly on April 29, 2023 and that the same assembly be scheduled for a date following the long weekends (the eve of the April 25 and May 1 holidays), suggesting the date of May 6, 2023 (a date already agreed with several AMABCC members), a new notice of meeting will be sent to members, requesting that it include information on the requirements to which participation and the exercise of voting rights may be subject, and the procedure and deadline for requests for inclusion on the Agenda. <\/p>\n\n
