26 Apr Communication between the Chairman and the AMABCC Board (April 17-21, 2023)

With reference to the request addressed to the Chairman of the Board of the AMABCC General Assembly, dated the 17th of this month, signed by the worthy President and Treasurer of the outgoing Board, regarding the Agenda of the Extraordinary General Assembly called for next May 6th, and questioning the statutory situation of the Advisory Council, I must clarify and confirm:
The proposal to create the Consultative Council, as a new working body (group) to support and advise the Managing Bodies, was presented to the 2022 Ordinary General Assembly as part of the candidacy program of the list that was approved and elected by that Assembly for the 2022/23 biennium.
Furthermore, the proposal not only went ahead with the creation of the new working body, but also proposed its personal constitution (identification of its members).
Obviously, the program of the list approved/elected by the AG does not have to be included in full in the AG’s minutes. The names and positions of the candidates elected to the governing bodies are fully identified.
The program of the winning candidate will become part of the AMABCC’s A.G. archive as official documentation, and will be fully authentic.
There is no doubt about the legal basis for the existence and composition of the Executive Board.
At the last Ordinary When, at the last Ordinary General Meeting, the Chairman mentioned the submission of the text of the Memorandum of Understanding, presented by the outgoing Board, for joint consideration by the future Extraordinary General Meeting, no objection was raised. Extraordinary General Meeting, no objections were raised.
The Consultative Council’s legal situation has not been the subject of any comment from any AMABCC body or member since its creation until the sudden submission of the request in question.
Significantly – and in stark contrast to his current argument – in the AMABCC Newsletter of July 2022, the outgoing Chairman of the Board wrote the following.
President of the outgoing Board the following passage is transcribed:
“…I would like, on behalf of all the Governing Bodies and myself, to pay a sincere and well-deserved tribute to António Silva Santos, the former president of AMABCC. António, after successfully handing over the baton to the new Governing Bodies in June, has decided to step down from his role as Vice-Chairman of the AMABCC Board. However, he will continue to support the AMABCC as a member of the Advisory Board…”
And so it is.
I maintain the Notice of Extraordinary General Meeting of May 6 and its Addendum as formulated and circulated.
And I hope that the documents attached to them will be in the possession of the summoned Members without delay.

With reference to the request addressed to the Chairman of the Board of the AMABCC General Assembly, dated April 21, by the dignified members of the outgoing Board, the Chairman of the Board clarifies:
- In compliance with the provisions of Article 11.4 of the AMABCC Internal Regulations, the Chairman of the General Meeting has drawn up the Agenda for the Extraordinary General Meeting on May 6, in compliance with the resolutions he retained from this year’s Ordinary General Meeting, which he chaired.
If any doubts arise on this matter, either from the outgoing Board or from any Members, the General Meeting will have the final say. - The same criterion of clarification of doubts and final decision by the A.G. applies to questions raised in relation to the Advisory Council.
- The Notice of Extraordinary General Meeting and Addendum qua tale are maintained and submitted to Your High Criteria, as well as the documents attached thereto.

We acknowledge receipt of your indifference to the request submitted to you on the 21st of this month.
Once again we are stunned by your audacity, but we will do as you wish.
We will publish the request and your refusal to accept the obvious on the Amabcc website so that all members are properly informed and the GA, which is sovereign, can decide.
